01Acceptance of Terms

These Terms & Conditions (“Terms”) constitute a legally binding agreement between you (“Buyer,” “you”) and SZILÁGYI ALAJOS ÎNTREPRINDERE INDIVIDUALĂ (“VIRTUS,” “we,” “us”) governing your use of virtus.gift and the purchase of digital medals and associated products.

By accessing virtus.gift, creating an account, or placing an order, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not accept these Terms, do not use this website or purchase any products.

We may update these Terms from time to time. The Terms in force at the time of your purchase govern that transaction. Continued use of virtus.gift after updated Terms are posted constitutes acceptance of the revised Terms.

02About VIRTUS

VIRTUS (virtus.gift) is a blockchain-verified digital recognition platform that enables users to mint personalised virtue medals as permanent digital tributes on the Cardano blockchain. VIRTUS is operated by SZILÁGYI ALAJOS ÎNTREPRINDERE INDIVIDUALĂ, a sole-trader enterprise registered in Romania (CUI: 36040634).

VIRTUS medals are gifting products. They are not financial instruments, investment assets, or securities. The blockchain layer provides permanence and verifiability; it does not confer speculative value. We do not use the word “NFT” in consumer-facing communications because it misrepresents the nature of our product.

VIRTUS is a sister platform to feeling.gift, operated by the same legal entity. Both platforms share server infrastructure but maintain separate identities.

03Products & Pricing

Digital Medal Tiers

Physical Card Add-On

A Physical Card Add-On (+€7.90) is available for all digital medal tiers. This is a premium NFC-enabled or QR-coded printed card linked to the digital memorial page. Physical delivery terms are governed by our Shipping & Delivery Policy.

Bundles

Occasion-based bundles combine multiple medals at a reduced price. Bundle products are subject to the same terms as individual medals.

Pricing & VAT

All prices are displayed and charged in Euro (EUR). Prices are final consumer prices inclusive of all applicable taxes. We do not display or charge in ADA or any other cryptocurrency. VIRTUS reserves the right to change prices at any time; the price in force at the time of your order confirmation governs your transaction.

04Ordering & Payment

Order Process

An order is placed when you complete the checkout and receive an email order confirmation. The order confirmation constitutes acceptance of your offer and forms a binding contract between you and VIRTUS.

VIRTUS reserves the right to refuse or cancel any order in cases of suspected fraud, pricing errors, or supply unavailability, and will issue a full refund in such cases.

Payment Methods

We accept all major credit and debit cards (Visa, Mastercard, American Express), Apple Pay, and Google Pay. All payments are processed securely by Stripe Payments Europe Ltd via SSL-encrypted connection. VIRTUS does not store, access, or process your card details directly.

Payment must be made in full at the time of ordering. Cryptocurrency payments are not accepted for consumer purchases.

Invoices

A VAT-compliant invoice (series VT26) is issued automatically upon payment and sent to your email address. You may also download invoices from your account at any time.

Currency & Conversion

All transactions are in EUR. If your card is denominated in a different currency, your bank or card provider will apply its own exchange rate. VIRTUS is not responsible for exchange rate fluctuations or bank charges.

05Digital Delivery & Minting

Memorial Page

Upon successful payment, a unique memorial page is automatically generated at virtus.gift/medal/[unique-slug] and a confirmation email is sent to the buyer. The memorial page is publicly accessible immediately.

Blockchain Minting

The medal is minted on the Cardano blockchain via NMKR infrastructure within approximately 24 hours of payment. In rare cases of high network load, minting may take up to 72 hours. You will receive a confirmation email with the transaction reference once minting is complete.

VIRTUS does not guarantee specific minting times due to the inherent variability of blockchain networks. Delays caused by Cardano network congestion are outside our control.

Recipient Notification

After minting, the recipient receives an email notification with a link to their memorial page. The recipient may optionally claim the medal to a Cardano wallet of their choice at any time, at no additional cost. Wallet claiming is entirely optional.

Co-Signers (Premium & Legendary)

After purchase, the buyer receives a shareable co-signing link. Co-signers may add their name and an optional short message. You are responsible for setting a co-signing deadline; after the deadline passes, additional signatures cannot be added. All co-signer names are permanently recorded on the blockchain.

06Right of Withdrawal (EU Consumer Rights)

Digital Medal (No Right of Withdrawal After Minting Begins)

EU consumers ordinarily have a 14-day right of withdrawal from digital content contracts. However, this right does not apply to digital content that has already begun to be delivered with the consumer’s prior express consent and acknowledgment that they thereby lose the right of withdrawal (Art. 16(m), Directive 2011/83/EU).

At checkout, you are presented with an explicit consent checkbox confirming your understanding of this exception. By ticking this checkbox and completing payment, you waive your right of withdrawal for the digital medal product. Please see our Refund & Returns Policy for how we handle cancellations requested before minting begins.

Physical Card Add-On (14-Day Withdrawal Right)

The Physical Card Add-On is a tangible product. EU consumers retain a 14-day right of withdrawal from the date of physical delivery, provided the card is unused, in its original condition, and returned at the buyer’s expense. This withdrawal right applies only to the physical card; the associated digital medal cannot be reversed.

Pre-Minting Cancellation

If you contact us at info@virtus.gift within approximately 60 minutes of placing your order and minting has not yet commenced, we will cancel your order and issue a full refund. This goodwill window is not guaranteed and depends on system processing status at the time of your request.

07Blockchain Permanence & Public Nature of Medal Data

By completing a purchase, you acknowledge and accept the following:

• The recipient’s name, your dedication message, the virtue type, and all co-signers’ names will be permanently and publicly recorded on the Cardano blockchain.
• This information will be displayed on the publicly accessible memorial page at virtus.gift and may also be stored on Arweave, a permanent decentralised storage network.
• Once minted, VIRTUS has no technical ability to delete or modify blockchain records. We can remove the memorial page from virtus.gift but cannot erase the on-chain data.
• You confirm that you have the right to use the recipient’s name and any other personal data submitted, and that doing so for the purpose of a public digital tribute is lawful and, where applicable, has the recipient’s consent.
• You are solely responsible for the accuracy and appropriateness of all data you submit.

Do not include sensitive personal data (addresses, phone numbers, medical information, financial data) in dedication messages or recipient name fields.

08User Content & Licence

Your Content

You retain ownership of the original content you create (dedication text, messages). By submitting content for inclusion in a VIRTUS medal, you grant VIRTUS a worldwide, royalty-free, irrevocable licence to display, store, transmit, and mint that content on the Cardano blockchain and on the memorial page for the purpose of providing the service.

You represent and warrant that: (a) you own or have the right to submit all content; (b) your content does not infringe the rights of any third party; (c) your content complies with Section 9 (Content Policy) below.

AI Dedication Assistant

Premium and Legendary tiers include an AI-powered dedication writer (Claude API by Anthropic). AI-generated suggestions are provided as inspiration only. You review and approve all text before submission. You are responsible for all content you submit regardless of whether it was AI-assisted.

VIRTUS Artwork

All medal artwork is the intellectual property of SZILÁGYI ALAJOS ÎNTREPRINDERE INDIVIDUALĂ. Upon purchase, you receive a non-exclusive, non-transferable licence to display the artwork on the memorial page and share the memorial page URL. You may not reproduce, resell, or create derivative works from VIRTUS artwork without express written permission.

09Content Policy

All content submitted for inclusion in a VIRTUS medal must comply with the following policy. You must not submit content that:

• Is defamatory, slanderous, or makes false statements of fact about any person
• Is obscene, sexually explicit, or pornographic
• Promotes or incites hatred, discrimination, or violence based on race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic
• Harasses, bullies, or threatens any individual
• Infringes the copyright, trademark, or privacy rights of any third party
• Contains sensitive personal data (addresses, financial information, health data, etc.)
• Is intended to deceive, mislead, or defraud any person
• Violates any applicable law or regulation

VIRTUS reserves the right to review dedication content before minting and to refuse minting or remove a memorial page if content violates this policy. In such cases, no refund will be issued if the violation is attributable to the buyer.

VIRTUS may use automated content screening; however, the buyer remains solely responsible for all submitted content.

10Intellectual Property

All intellectual property on virtus.gift — including but not limited to medal artwork, visual designs, written copy, brand identity, software, and the VIRTUS name and logo — is the exclusive property of SZILÁGYI ALAJOS ÎNTREPRINDERE INDIVIDUALĂ or its licensors, protected under Romanian law, EU intellectual property law, and applicable international conventions.

No content from virtus.gift may be reproduced, modified, distributed, published, or used for any commercial purpose without prior written permission. Requests may be sent to info@virtus.gift.

11Disclaimers & Limitation of Liability

Service Provided “As Is”

VIRTUS provides its services in good faith and with reasonable care. However, we do not warrant that the service will be uninterrupted, error-free, or that minting will occur within any specific timeframe.

Blockchain & Third-Party Dependencies

VIRTUS relies on third-party infrastructure including the Cardano blockchain network and NMKR. We are not liable for delays, failures, or data loss caused by blockchain network congestion, NMKR service interruptions, or force majeure events beyond our control.

Limitation of Liability

To the maximum extent permitted by applicable law, our total liability to you arising from or related to a purchase shall not exceed the price paid for the relevant order. We are not liable for indirect, incidental, consequential, or punitive damages.

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law. EU consumer rights remain unaffected.

Recipient Claiming

VIRTUS is not responsible if the recipient does not access or claim their medal. The memorial page remains accessible regardless of whether the recipient claims the blockchain token.

12Governing Law & Dispute Resolution

Governing Law

These Terms are governed by the laws of Romania, including applicable European Union regulations. Consumers resident in EU member states retain the protection afforded by the mandatory provisions of their country of residence.

Dispute Resolution

In the event of a dispute, please contact us first at info@virtus.gift. We will endeavour to resolve all complaints within 5 business days.

If we cannot resolve the dispute directly, EU consumers may use the EU Online Dispute Resolution platform: ec.europa.eu/consumers/odr.

Consumers may also contact the Romanian consumer protection authority: ANPC (anpc.ro).

Any disputes not resolved through the above mechanisms shall be subject to the exclusive jurisdiction of the competent courts of Romania.

13Miscellaneous

• Entire agreement: These Terms, together with our Privacy Policy, Cookie Policy, Refund Policy, and Shipping Policy, constitute the entire agreement between you and VIRTUS regarding the subject matter herein.
• Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions continue in full force and effect.
• No waiver: Failure by VIRTUS to enforce any provision does not constitute a waiver of that provision.
• Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights in connection with a business sale or merger.
• Language: These Terms are drawn up in English. In the event of any conflict between an English-language version and a translation, the English version prevails.
